Article 1 Name and Seat
Artikel 1 Name und Sitz
Under the name “International Hackteria Society”, is an association according to article 60ff of the Swiss Civil Code (ZGB) with seat in Zürich.
Unter dem Namen «International Hackteria Society» besteht ein Verein im Sinne von Artikel 60 ff. ZGB mit Sitz in Zürich.
Article 2 Aim
Artikel 2 Zweck
The association aims to guarantee the organizational and financial processes of the project “Hackteria | Open Source Biological Art”. It wants to further development and access to practical knowledge in artistic engagement with the lifesciences. It wants to create platforms for public discussions and invite international artists and scientists for critical and theoretical discourse.
Der Verein bezweckt die organisatorischen und finanziellen Abläufe des Projektes “Hackteria | Open Source Biological Art” zu garantieren. Er will Entwicklungen und den Zugang zu praktischem Wissen im Bereich der künstlerischen Auseinandersetzung mit den Lebenswissenschaften fördern. Er will Platformen zur öffentlichen Diskussion schaffen und international Künstler und Wissenschaften zu einem kritischen und theoretischen Diskurs auffordern.
Artikel 3 Mittel Article 3 Financial Means Um den Vereinszweck zu erreichen sucht der Verein finanzielle Unterstützung von Spendern und Subventionen, wie staatliche und private Förderinstutionen in der Schweiz und im Ausland. Mit diesen Mitteln arbeitet der Verein nicht-profitorientiert um seinen Zweck zu erfüllen. Es werden keine Mitgliederbeiträge erhoben. Einahmen durch Verkauf von “Educational Kits” und anderen not-for-profit Artikeln fliessen in den Verein. To reach its aims the association seeks support from sponsors and foundations, such as governmental and private funding bodies in Switzerland and abroad. The association works as a non-profit organization to reach its aims. There is no member fee. Income from the sales of “Educational Kits” and other not-for-profit merchandise go into the association. Artikel 4 Mitgliedschaft Article 4 Membership Mitglied mit Stimmberechtigung können natürliche und juristische Personen werden, die ein Interesse an der Mitarbeit am Projekt “Hackteria | Open Source Biological Art” haben. Es bestehen keinerlei Vorbehalte bezüglich Nationalität, Religion, Geschlecht oder Experise. Member with right to vote can be any natural and juristic person, which shares the interest on collaborating on the project “Hackteria | Open Source Biological Art”. There is no restrictions according to nationality, religion, gender or expertise. Aufnahmegesuche können an sämtliche Vorstandsmitglieder gerichtet werden. Über die Aufnahme können sämtliche Vorstandsmitglieder jederzeit einzeln entscheiden. Application for membership can be sent to any member of the board. All members of the board can decide at anytime on the acceptance of the applications. Artikel 5 Erlöschen der Mitgliedschaft Article 5 Expiration of membership Die Mitgliedschaft erlischt bei natürlichen Personen durch Austritt, Ausschluss oder Tod, bei juristischen Personen durch Austritt, Ausschluss oder Auflösung. The membership of natural persons expires through withdrawal, exclusion or death. The membership of juristic persons expires through withdrawal, exclusion or disbanding. Artikel 6 Austritt und Ausschluss Article 6 Withdrawal and Exclusion Ein Vereinsaustritt ist auf Ende des darauffolgenden Monats möglich. Der Austrittswunsch muss schriftlich, oder mündlich an das Präsidium gerichtet werden. Withdrawal is possible by the end of any given month. The wish for withdrawal has to be communicated to the presidency in written or oral form. Ausschluss kann jederzeit, aber nur durch sowohl einstimmigen Entschluss des Vorstands und auch Mehrheit der Mitglieder, ohne Grundangabe, entschieden werden. Exclusion can be decided at any time, but only with a concordant decision of the board in combination with a voted majority of the members, no reason has to be given. Artikel 7 Organe Article 7 Functions Die Organe des Vereins sind: The functions of the association are: - Mitgliederversammlung - General assembly - Vorstand - Members of the Board Artikel 8 Mitgliederversammlung Article 8 General assembly Das oberste Organ des Vereins ist die Mitgliederversammlung. Eine ordentliche Mitgliederversammlung findet jährlich Ende statt. Nicht physisch anwesende Mitglieder können über online Tools ihre Stimmen abgeben und ihre Meinungen äussern. Zur Mitgliederversammlung werden die Mitglieder per email im Voraus eingeladen, unter Beilage der Traktandenliste. An der Mitgliederversammlung verfügt jedes Mitglied über eine Stimme; die Beschlussfassung erfolgt mit einfachem (50%) Mehr. The highest organ of the association is the general assembly. An orderly general assembly takes place once per year. Members who are not physically present can use online tools for voting or expression of opinions. The invitation for the general assembly is sent in advance by email, including a list of point of action. At the general assembly every member has one vote; decisions are made by bare (50%) majority. Die Mitgliederversammlung hat folgende Aufgaben: The general assembly has the following tasks: - Wahl beziehungsweise Abwahl des Präsidenten, alle 2 Jahre - Election or voting out of the presidency, every 2 years - Wahl beziehungsweise Abwahl der Vorstandsmitglieder - Election or voting out of the members of the board - Festsetzung und Änderung der Statuten. - agreement on and changes to the constitution - Abnahme der Jahresrechung - Acceptance of the yearly financial budget - Behandlung der Ausschlussrekurse - Treatments of exclusions Artikel 9 Vorstand Article 9 Board Der Vorstand besteht aus mindestens 3 Personen. The board consists of at least 3 persons. Die Präsidentschaft dauert 2 Jahre. Der Präsident ruft jährlich die Mitgliederversammlung aus und organisiert ausserordentliche Versammlungen. Der Präsident vertritt den Verein nach Aussen und dient als erste Kontaktstelle für die Öffentlichkeit. Presidency last 2 years. The president calls the yearly general assembly and organizes extraordinary assemblies. The president represents the association to the public and acts as first contact to the public. Der gesamte Vorstand vertritt den Verein nach aussen und führt die laufenden Geschäfte selbst konstituiert, projektbasierte Hilfe kann durch Beizug vom Mitgliedern und Externen erfolgen. The whole board represents the association to the public and performs all functions as a self constituent organization, according to project based needs it seeks help from members and externs. Artikel 10 Unterschrift Article 10 Signatory Der Verein wird verpflichtet durch die Kollektivunterschrift mindestens zwei, 2, Mitgliedern des Vorstandes. Authorized signatory by the association has to be collectively signed by two, 2, members of the board. Artikel 11 Haftung Article 11 Accountability Für die Schulden des Vereins haftet nur das Vereinsvermögen. Eine persönliche Haftung der Mitglieder ist ausgeschlossen. Depts by the association are only the legal assets of the association. No personal accountability of the members is possible. Artikel 12 Statutenänderung Article 12 Changes to the constituion Diese Statuten können abgeändert werden, wenn zwei Drittel (66%) der an der Mitgliederversammlung anwesenden stimmberechtigten Mitglieder zustimmen. Changes to the constitution can only be done during the general assembly by a 2/3 (66%) majority of the participating members. Artikel 13 Auflösung des Vereins Article 13 Disbanding of the association Die Auflösung des Vereins kann mit zwei Drittel der an der Mitgliederversammlung anwesenden stimmberechtigten Mitglieder beschlossen werden, wenn die erforderliche Quote, zwei Drittel aller stimmberechtigten Mitglieder, an der Mitgliederversammlung anwesend sind. Sind weniger als die erforderliche Quote, zwei Drittel aller stimmberechtigten Mitglieder, anwesend, kann innerhalb eines Monats eine zweite Mitgliederversammlung die Auflösung des Vereins mit zwei Drittel der an der Mitgliederversammlung anwesenden stimmberechtigten Mitglieder beschliessen, auch wenn weniger als die erforderliche Quote anwesend sind. Bei einer Auflösung des Vereins fällt das Vereinsvermögen an eine Institution, welche den gleichen oder einen ähnlichen Zweck verfolgt. Disbanding of the association can be decided at the general assembly with a 2/3 majority participating members, only if 2/3 of all members have put in a valid vote. If less than 2/3 members have participated, a second vote can be performed in the time of 1 month in which disbanding can be decided upon a 2/3 majority even if less the the needed participation quota is met. In case of disbanding of the association the financial assets will go to another institution, with the same or similar aims. Artikel 14 Inkrafttreten Article 14 Coming into effect Diese Statuten werden an der Gründungsversammlung vom 16.3.2011 angenommen und treten mit diesem Datum in Kraft. This constitution will be accepted by the founding assembly on 16.3.2011 and so come into effect.
